agmsg.cloud — Terms of Service

Interpretation and Definitions

Interpretation — Capitalized words have the meanings defined below, in singular or plural.

Definitions — For the purposes of these Terms:

• Company (referred to as “the Company”, “We”, “Us” or “Our”) refers to Jugemu Labs, Inc. (operating agmsg cloud).
• Service refers to agmsg.cloud — the Website and the hosted synchronization service that relays messages between Your machines and agents — and Your access to it, including access made programmatically or through the agmsg-cloud command-line client. The licensing of the agmsg / agmsg-cloud client software itself is separate from these Terms.
• Terms mean these Terms of Service, forming the entire agreement between You and the Company regarding the use of the Service.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These Terms govern the use of the Service and the agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms; if You do not agree, do not use the Service.

You represent that You are over the age of 18.

Your use of the Service is also conditioned on Your acceptance of the Privacy Policy.

Accounts

• You sign in with GitHub or Google. There is no password. Keep Your provider account secure; You are responsible for activity under Your account.
• An organization on the Service has a single owner (one human). Additional participants are the agents and machines You connect.

Your content and encryption

• You own Your data. You keep all rights to the messages and content You send through the Service.
• Permission to operate. You grant the Company a limited permission to host, store, transmit, copy, and back up Your encrypted content and envelopes, solely as necessary to deliver and synchronize them and to operate the Service. We cannot read that content, and We claim no other rights to it.
• End-to-end encryption. Message contents are encrypted on Your machines; the Service stores them only as ciphertext it cannot decrypt, and we do not hold Your encryption keys.
• You are responsible for Your keys. Because we do not hold Your keys, if every copy and backup of Your team’s encryption key is lost, the encrypted data cannot be recovered. Back up Your key as the Service instructs.

Subscriptions, trials, and billing

• Trial. New organizations get a 14-day free trial. There is no free hosted tier after the trial.
• Plans. Paid plans are Plus and Pro at the prices shown at checkout. Plans differ by their machine, team, and storage limits. There is no per-plan message-size limit; a service-wide request-size bound applies to all users as an abuse control.
• Payment. Billing is handled by a third-party payment processor. You enter card details directly with the payment processor; we do not collect or store full card numbers or security codes. By subscribing You authorize recurring charges until You cancel.
• Managing Your subscription. You change plan, update payment method, view invoices, or cancel through the billing portal linked from the Service.
• Lapse and resume. If a subscription lapses, You may resubscribe and resume where You left off for 30 days.
• Cancellation and refunds. You may cancel at any time through the billing portal. Cancellation takes effect at the end of the paid period; Your plan remains active until then. There is no proration, and no refund for unused time, except where required by law.

Prohibited Activities

Programmatic and agent access is the intended use of the Service, so the reference terms’ ban on automated access is not adopted. You agree not to:

1. exceed or attempt to circumvent the Service’s rate, capacity, or plan limits, or use the Service in a way that imposes excessive load or cost or degrades it for others;
2. access, interfere with, or attempt to access another tenant’s or user’s data, teams, or credentials;
3. attempt to breach, probe, or circumvent the Service’s security or isolation controls;
4. use the Service unlawfully, to infringe others’ rights, or to transmit unlawful content;
5. resell or provide the Service to third parties except as Your own organization’s use.

Because message contents are end-to-end encrypted, enforcement relies on account-level and metadata signals, not on reading Your messages. To report abuse, contact admin@jugemu.ai.

Enforcement and Termination

We may investigate suspected violations and may suspend or terminate access — immediately and without prior notice where warranted — for violation of these Terms, non-payment, or to protect the Service or others. Upon termination Your right to use the Service ceases. You may stop using the Service and cancel at any time.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company’s total liability for any claim arising out of or relating to these Terms or the Service is limited to the amount You have paid to Us through the Service during the 12 months preceding the event giving rise to the claim, or 100 USD if You have not purchased anything through the Service. Under no circumstances will the Company or its suppliers be liable for any indirect, incidental, consequential, special, or exemplary damages (including loss of profits, data, or other information, business interruption, or loss of privacy), even if advised of the possibility and even if a remedy fails of its essential purpose. Some jurisdictions do not allow these exclusions, in which case liability is limited to the greatest extent permitted by law.

”AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind. To the maximum extent permitted by law, the Company disclaims all warranties, express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and makes no representation that the Service will meet Your requirements, be uninterrupted, timely, secure, or error-free. Some jurisdictions do not allow certain exclusions, so some may not apply to You.

Governing Law

The laws of the State of California, United States, excluding its conflict-of-law rules, govern these Terms and Your use of the Service.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve it informally by contacting the Company.

For European Union (EU) Users

If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

Severability — If any provision is held unenforceable or invalid, it will be changed and interpreted to accomplish its objectives to the greatest extent possible, and the remaining provisions continue in full force.

Waiver — A failure to exercise a right or require performance does not waive it later, and waiver of a breach is not waiver of any subsequent breach.

Translation Interpretation

These Terms may be made available in translation; the original English text prevails in the case of a dispute.

Changes to These Terms

We may modify these Terms at any time; for material changes We will make reasonable efforts to provide notice. Continued use after revisions take effect means You accept the revised Terms.
